Foreign Remittance Scrutiny Pre Notice Compliance Audit

Foreign remittance scrutiny is increasingly data-led. Overseas payments can be compared with turnover, return filing history, TDS statements, banking purpose codes, invoices and certificates. A genuine payment is not automatically a problem; the risk arises when the records do not tell one coherent story.

Build a complete remittance population

Do not review only the payments for which a CA certificate was obtained. Extract all outward remittances for the review period from bank statements, Form A2 records, foreign currency ledgers, TDS returns and vendor accounts. Group them by recipient, country, nature of payment, purpose code and financial year.

The population should separately identify imports, software and cloud costs, royalty, technical or professional services, commission, freight, reimbursements, interest, dividends, capital transactions and NRI repatriations. This first classification often reveals inconsistent coding or missing documents.

Test six areas in every material transaction

Commercial substance

Confirm the overseas party, scope of work, deliverables and business need. A generic invoice such as “consulting charges” is weak evidence unless the agreement and work product establish what was actually received.

Taxability under Indian law

Record the charging basis before considering a treaty. Identify why the sum is taxable or not taxable and whether only a portion is chargeable. Do not begin with the TDS percentage.

DTAA eligibility

Check the recipient’s residence, TRC, prescribed additional information, beneficial ownership, relevant treaty article and Permanent Establishment facts. Treaty relief should be supported by documents existing around the payment date, not reconstructed after a notice.

Withholding and reporting

Banking and FEMA trail

Compare payments with the profit and loss account, tax audit disclosures, transfer-pricing records, GST treatment where relevant and the income-tax return. Large remittances by a non-filer or an entity reporting negligible operations are likely to require more explanation.

Use a red amber green review system

  • Green: executed contract, clear invoice, consistent purpose code, supported tax opinion and complete TDS or treaty file.
  • Amber: genuine business payment but incomplete TRC, inconsistent description, delayed TDS or missing annual-threshold working.
  • Red: beneficiary not connected with the contract, no evidence of service, unexplained round sums, tax position unsupported, or records that conflict across bank, books and certificate.

What to do if a query has already arrived

Read the notice before drafting the answer. Identify the assessment year, statutory provision, deadline and exact remittance entries. Submit a transaction-wise response with an indexed document set rather than a general statement that all payments were genuine.

  • The same vendor is classified under different service categories without explanation.
  • The RBI purpose code does not match the tax certificate.
  • The TRC covers a different period from the payment.
  • TDS is applied to the net remittance although the contract requires grossing up.
  • Multiple payments cross the annual threshold but the aggregate test was not performed.
  • A reimbursement is treated as automatically non-taxable without examining markup, agency and underlying service.
  • Forms 15CA or 15CB are used for a period governed by Forms 145 and 146, or vice versa.

Does scrutiny mean the remittance is illegal? No. Verification is not a finding of tax evasion or a FEMA breach.

Should earlier returns be revised immediately? First establish the facts and the legally available correction route. A revision, updated return, TDS correction or explanatory response has different consequences.

Can DTAA relief be defended later? It may be, but contemporaneous TRC and treaty documents materially strengthen the position.
